Sale Agreement vs Sale Deed in Pakistan: What Is the Difference?

Sale Agreement vs Sale Deed in Pakistan

When buying or selling property in Pakistan, two important terms are commonly used: Sale Agreement and Sale Deed. Although both are related to a property transaction, they serve different purposes.

Many buyers and sellers confuse a Sale Agreement with a Sale Deed or assume that signing an agreement automatically transfers ownership. Understanding the difference can help prevent misunderstandings and costly mistakes.

What is a Sale Agreement?

A Sale Agreement, also known as an Agreement to Sell, is a written agreement between the buyer and seller that records the terms and conditions of a proposed property sale.

In many local property transactions, the agreement may also be called a Bayana Agreement when an advance or earnest money is paid by the buyer.

A Sale Agreement may include:

  • Names and CNIC details of the buyer and seller
  • Complete description of the property
  • Total agreed sale price
  • Advance or Bayana amount
  • Balance payment details
  • Cheque numbers and amounts, where applicable
  • Date for completion of the transaction
  • Possession arrangements
  • Responsibility for taxes, dues and other charges
  • Conditions relating to cancellation or default
  • Signatures of the parties and witnesses

What is a Sale Deed?

A Sale Deed is the formal instrument used for transferring ownership of immovable property from the seller to the buyer, subject to the applicable legal requirements and registration formalities.

Under Section 54 of the Transfer of Property Act, 1882, a sale is a transfer of ownership in exchange for a price paid, promised, partly paid or partly promised.

A Sale Deed normally contains the details of the parties, property, sale consideration and the transfer of the seller's rights and interest in the property.

Sale Agreement vs Sale Deed

  • Sale Agreement: Records the terms and conditions agreed between the buyer and seller.
  • Sale Deed: Records the formal transfer of ownership, subject to applicable legal and registration requirements.
  • Sale Agreement: Is commonly prepared before the transaction is completed.
  • Sale Deed: Is generally executed at the formal transfer stage.
  • Sale Agreement: May record payment of Bayana or advance.
  • Sale Deed: Records the sale consideration and transfer of the property.

Is a Sale Agreement the Same as Property Registry?

No. A Sale Agreement and property registration are not the same thing.

A Sale Agreement records the contractual arrangement between the parties. Registration is a separate legal process governed by the applicable registration laws.

Therefore, a buyer should not assume that simply signing an agreement on stamp paper means that the property has been registered in the buyer's name.

What is Bayana?

Bayana generally refers to an advance amount paid by the buyer to demonstrate commitment to a property transaction.

For example:

  • Total property price: Rs. 20,000,000
  • Bayana paid: Rs. 2,000,000
  • Balance: Rs. 18,000,000

The written agreement should clearly state the amount paid, payment method, date of payment, balance amount and the consequences if either party fails to complete the agreed transaction.

What Should a Property Sale Agreement Include?

A properly prepared agreement should clearly identify the parties, property and financial terms.

  • Full name and CNIC of both parties
  • Complete property address and description
  • Total sale price
  • Advance/Bayana amount
  • Balance payment schedule
  • Payment method and cheque details where applicable
  • Date of completion
  • Possession arrangements
  • Taxes, dues and other responsibilities
  • Procedure in case of cancellation or default
  • Signatures of buyer, seller and witnesses

What Happens After Signing a Sale Agreement?

The exact process can vary depending on the property and the applicable authority, but a transaction may generally proceed through the following stages:

  1. Verification of the seller's ownership and property documents.
  2. Agreement on the sale price and conditions.
  3. Preparation and signing of the Sale Agreement.
  4. Payment and acknowledgement of the Bayana or advance.
  5. Completion of the agreed payment and other requirements.
  6. Preparation of the appropriate Sale Deed.
  7. Registration or transfer through the relevant authority, where required.

Documents Buyers Should Check Before Purchasing Property

Before paying a substantial amount, a buyer should carefully verify the seller's ownership and relevant property records.

  • Seller's CNIC
  • Original ownership/title documents
  • Previous Sale Deed or relevant ownership document
  • Relevant property or land records
  • Property tax and other applicable dues
  • Society or authority records, where applicable
  • Any mortgage, lien or outstanding claim
  • Physical possession of the property
  • Seller's authority to sell
  • Power of Attorney, if someone is acting on behalf of the owner

Common Mistakes to Avoid

1. Paying a Large Amount Before Verification

Buyers should verify ownership and relevant property documents before making a substantial payment.

2. Using an Incomplete Agreement

A short agreement that does not clearly explain the payment schedule, completion date and consequences of default can create disputes later.

3. Incorrect Payment Details

If payment is made through cheques or bank transfer, the amount and relevant transaction details should be recorded accurately.

4. Confusing Sale Agreement with Sale Deed

A Sale Agreement should not automatically be treated as the final registered transfer of ownership.

5. Ignoring Taxes and Government Dues

The parties should clearly determine responsibility for applicable taxes, fees and outstanding dues.

Sale Agreement or Sale Deed — Which One Do You Need?

If you are making a property deal and paying an advance or Bayana, a properly drafted Sale Agreement / Agreement to Sell can record the terms agreed between the parties.

If you are completing the formal transfer of ownership, the appropriate Sale Deed and registration or transfer formalities need to be completed according to the applicable law and requirements.

These documents should not be treated as interchangeable.
